Terms And Conditions

Please read these Terms and Conditions (“Terms”) carefully before using Spryft’s services. These Terms constitute a legally binding agreement between you (the client, referred to as “you” or “Client”) and Spryft Ltd (“Spryft”, the “Company”, “we”, “us”, or “our”), a digital design and marketing subscription company.

By subscribing to Spryft’s services or using our website and platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not subscribe to or use our services.

These Terms apply to clients located in the UK, EU, United States, and other international locations. Privacy and cookie matters are governed separately by our Privacy Policy.

  1. Subscription terms

1.1 Subscription Plans, Term, and Renewal

Spryft provides its services on a subscription basis. When you purchase a subscription plan, you receive access to our design and marketing services for the selected subscription term (for example, monthly, quarterly, or annually).

Subscriptions are billed in advance and automatically renew at the end of each billing period unless cancelled in accordance with these Terms. Renewal will occur on the same plan and billing cycle unless otherwise agreed in writing.

Spryft reserves the right to refuse or discontinue service to any client at its discretion, including where the client is not a business user or has a history of non-payment or misuse.

Minimum Commitment
Each subscription carries a minimum commitment equal to its initial billing term. You may not cancel a subscription mid-term. Cancellation will only take effect at the end of the current subscription period, subject to notice requirements outlined below.

1.2 Subscription charges(Upgrades,downgrades and pauses)

Clients may request changes to their subscription plan by providing at least 30 days’ written notice.

Upgrades
Upgrades to higher-tier plans will take effect after the notice period or sooner if agreed in writing. Additional fees may apply.

Downgrades
Downgrades will take effect after the notice period and at the next billing cycle. No refunds or credits are issued for downgrades.

Pausing a Subscription
Subscriptions may be paused with written notice. During a pause, no services are provided and no fees are charged. Extended pauses may be treated as termination at Spryft’s discretion.

All changes apply prospectively and cannot be applied retroactively.

1.3 Cancellation by the Client

You may cancel your subscription by providing at least 30 days’ written notice prior to renewal.

  • No mid-period cancellations
  • No refunds for prepaid fees
  • Minimum term fees remain payable
  • Services remain active until the end of the paid period

Spryft will confirm cancellation in writing.

1.4 Termination by spryft

Spryft may suspend or terminate services:

  • For breach of these Terms
  • For non-payment
  • For unlawful, abusive, or objectionable use
  • For operational or business reasons with notice

If termination occurs without client fault, unused prepaid fees may be refunded on a prorated basis.

  1. Fees and payment

2.1 Billing and authorization

All subscription fees are payable in advance and exclude applicable taxes. You authorize Spryft and its payment processors (such as Stripe) to charge your payment method on a recurring basis.

Payments must be made without deduction or set-off.

2.2 Failed payments and late fees

If payment fails, Spryft may suspend services until payment is received. Overdue balances may incur interest at 6% above the Bank of England base rate, or the maximum permitted by law.

2.3 No refund policy

All payments are non-refundable except where required by law. This applies to subscription fees and any setup or third-party costs.

2.4 Pricing changes

Spryft may change subscription pricing with at least 30 days’ notice. Changes apply only at renewal. Continued use constitutes acceptance.

2.5 Additional costs

Third-party assets (such as stock images, fonts, or plugins) are not included unless stated. Such costs require client approval and are billed separately.

  1. Service delivery

3.1 Scope of services

Spryft provides subscription-based creative services, including but not limited to graphic design, marketing assets, and digital materials.

Services are not intended for highly specialized or large-scale production unless separately agreed.

3.2 Requests and queue

Requests are submitted via Spryft’s designated platform. Requests are worked on sequentially unless the plan allows parallel tasks.

3.3 Turnaround times

Estimated turnaround is 1–2 business days for standard requests. Timelines are estimates and not guaranteed.

Business hours are Monday–Friday, excluding public holidays.

3.4 Client responsibilities

Clients must:

  • Provide accurate briefs and assets
  • Respond promptly with feedback
  • Review and approve deliverables carefully

Unlimited revisions apply within the original scope of the request.

3.5 Fair use

Excessive or abusive usage may require plan adjustment. Spryft reserves the right to manage workloads to ensure service quality.

  1. Intellectual property

4.1 Ownership of deliverables

Upon full payment, clients own the final deliverables created for them, excluding Spryft’s pre-existing materials.

4.2 Spryft pre-existing IP

Spryft retains ownership of templates, workflows, tools, and non-client-specific assets used in production.

4.3 Client materials license

Clients grant Spryft a limited license to use supplied materials solely for service delivery.

4.4 Portfolio use

Spryft may showcase completed work in portfolios unless the client requests confidentiality in writing.

  1. Client obligations and indemnity

Clients confirm they have rights to all provided materials and agree to indemnify Spryft against third-party claims arising from client content or instructions.

  1. Liability and disclaimers

6.1 No warranties

Services are provided “as is.” Spryft does not guarantee business outcomes or uninterrupted service.

6.2 Limitation of liability

Spryft’s total liability is limited to fees paid in the 12 months prior to the claim, or £100 where no fees were paid.

Nothing limits liability for fraud, death, or personal injury.

  1. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction.
